Job Description


The Documentation/Syndication Leader (the “Syndication Leader”) position can be based in the Chicago, Illinois or Johnston, Rhode Island offices of Citizens Asset Finance, a division of Citizens Bank, N.A. (“CAF”), or the successful candidate may work remotely with periodic visits to one of these offices. CAF provides commercial equipment leases and loans to its customers. The Syndication Leader will be responsible for taking the lead in managing the syndication of all transactions for CAF, and will be working closely with the Documentation/Syndication Leader based in CAF’s Johnston, RI office. The Syndication Leader is responsible for management of all phases of the syndication process which includes:

+ Serve as primary point of collaboration among all key stakeholders and serve as liaison between senior management, syndicators, RM’s, Team Leaders, credit and operations / finance and investors in the syndication of all transactions for CAF (which is a significant and very important part of CAF’s business)

+ Take a leadership role in the cultivation, development and maintenance of relationships with investors

+ Manage due diligence requests and data requests from investors

+ Monitor the closing process and progress of all transactions in pipeline

+ Provide input/guidance on negotiation/structure of direct transactions regarding potential syndication issues, even if the transaction is not slated for immediate syndication

+ Audit documentation packages earmarked for syndication for completeness and resolve any issues

+ Draft standard and complex syndication documents and other legal documents

+ Engage various levels of senior management to insure clear communication on syndication issues

+ Provide guidance as subject matter expert on syndications

+ Complete Participation Worksheets and provide any ancillary information needed for booking syndicated transactions

+ Review of underlying transaction documents to gain complete understanding of transaction including understanding pricing, deal structure, collateral evaluation, credit and tax components, sales/use taxes and property taxes in order to know how to properly syndicate

+ Utilize critical thinking and analysis to identify issues, determine CAF’s willingness to indemnify investors for certain issues and negotiate with investors

+ Provide a complete syndication package to investors after the completion of the syndication

+ CAF Senior Management will rely on Syndication Leader’s judgment, analysis and recommendations on syndicated transactions which are the most important part of CAF’s fee generation business

The additional responsibilities of the Syndication Leader not specifically related to syndication, include the following:

+ Attend pre-screen transaction meetings, transaction review committee meetings, weekly capital markets meetings, regional sales pipeline meetings and quarterly documentation team meetings

+ Organize ongoing training of Documentation Specialists particularly with respect to matters affecting the syndication of those transactions

+ Collaborate and work closely with the Head of Documentation and the Team Leader – Documentation to ensure that syndication is top of mind and that a Syndication Leader is brought into each potential transaction early in the process

+ Review of outgoing documents, funding packages and Rapport (booking system) entries prepared by Documentation Specialists

+ Responsible for closing of Indirect (buy desk) transactions and handling his/her own portfolio of new and existing CAF customers, based on the needs of the Documentation team and availability of the Syndication Leader, including preparing all lease/loan documents, driving the closing process and insuring the transactions are properly booked for such customers

+ Assist with internal audit requests

+ Participate in process improvement initiatives


+ A minimum of 5 years experience in documentation

+ Capital Markets (Syndication) experience required

+ Operations background/experience, particularly with systems of record (Rapport and Infolease) is a plus

+ A high level of attention to detail and an understanding of lien perfection requirements

+ An understanding of lease/loan documentation requirements

+ Must exhibit strong verbal and written communication skills, organization skills and interpersonal skills


+ Bachelor’s Degree required

+ Master’s Degree or MBA is a plus

This position is not available in Colorado.
