This position is responsible for providing legal services and counsel regarding intellectual property prosecution, management and strategy of chemical and biological pharmaceutical technologies.
Summary of the Essential Functions of the Job
Manage the preparation, filing, and prosecution of patent applications to obtain broadest possible protection for company's inventions. Provide legal advice and service on patent/intellectual property including discovery, patentability, validity, and infringement of inventions and/or patents. Ensure all commercially important inventions are protected by valid patents and do not infringe valid third party patents. Render opinions regarding infringement and validity of patents. May handle appeal and opposition proceedings. Has understanding of company's products and technology. Ability to work with outside counsel to direct activities.
Conduct, review, and evaluate literature, patent, and file wrapper searches on all subject matter relevant to the company for patentability, validity, and freedom to operate issues.
Support IP due diligence teams for business development opportunities in chemical and biological therapeutic technologies;
Review and provide counsel to protect Incyte's interest in scientific/technical/clinical publications originating either internally or with third party collaborators.
Draft, negotiate and review contracts involving material transfer, sponsored research, third party research services, consulting, confidentiality and related contract matters. May negotiate and draft patent licenses and other agreements.
Develop a thorough understanding of and familiarity with the company's business, its people, products, markets, facilities, customers and competitors and utilizes that knowledge in providing guidance and counsel to internal clients.
Establish a rapport and a working relationship with business unit management and personnel at all levels to encourage and continue the proactive use of in-house legal counsel.
Provide day-to-day legal advice regarding a wide range of activities and programs related to drug and biologic product development and medical affairs.
J.D. degree, as well as membership in good standing of at least one state bar; and must be admitted, and in good standing, to practice before the USPTO.
MS, preferably a PhD, in chemical sciences including a strong knowledge of organic chemistry with a focus on medicinal chemistry; knowledge in the biological/antibody technology.
At least 8 years of related experience, with at least 5 years in-house legal experience and proven track record in IP preparation, prosecution and management of a pharmaceutical company.
Good general working knowledge of MTA, SRA, CDA and Research agreement transactional practice and negotiation.
Demonstration of solid organization skills, ability to think strategically, and sound judgment in the analysis of complex business issues and deriving conclusions.
Excellent written and verbal communications skills, including the ability to communicate concisely to clients, to integrate legal and business knowledge and to provide balanced advice regarding risks.
Ability to manage multiple tasks simultaneously and to flourish in a fast-paced environment.
