Summary

InterDigital is currently seeking a Corporate Paralegal to join our Legal Department.

Responsibilities

  • Draft board and committee meeting materials, including agendas, resolutions, summaries, memoranda, D&O questionnaires, and other corporate governance documentation.
  • Administer all aspects of electronic board portal and manage production and distribution of meeting materials through the portal.
  • Manage board and committee minutes, written consents and maintain board/committee minute books and other board records.
  • Assist with onboarding new directors and executives as needed for public company records and filings. Liaise with the Board of Directors as needed.
  • Support the administration of the Company's policies and procedures including insider trading policies and related matters such as restricted periods and designation of employees restricted from trading.
  • Administers Section 16 filings (Forms 3, 4 and 5) and maintains related records.
  • Maintaining legal files for corporate parent as well as numerous subsidiaries and affiliates.
  • Review and manage the Company's local, state, national and international requirements for business operations and qualifications to do business.
  • Assist with subsidiary management for domestic and foreign subsidiaries, including preparation of corporate charter and other formation documents, foreign state/country qualification, withdrawals, dissolutions, mergers and amendments. Ensure annual reports for each subsidiary are filed with accurate information on a timely basis.
  • Assist with the drafting, review and filing of Exchange Act reports, including Forms 8-K, 10-Q and 10-K, including the preparation of exhibits and certifications
  • Assists with proxy statement preparation, including director and officer questionnaires and compensation tables
  • Assist with contract review in support of corporate procurement function.
  • Provides general assistance to other members of the Legal Department, as necessary and participate in corporate projects across the department. Assist with special projects as needed, with the ability to work in an ever-changing environment.


Qualifications

  • At least four (4) years related paralegal experience with public company and/or law firm
  • Bachelor's degree and/or paralegal certificate preferred; equivalent education and/or experience considered
  • High sense of urgency and ability to work in a fast-paced environment with shifting priorities and multiple responsibilities
  • Self-starter with excellent problem-solving skills, including ability to demonstrate judgment in working through complex transactions, with the ability to analyze, problem solve and communicate observations and recommendations
  • High degree of accuracy and attention to detail
  • Excellent written and verbal communication skills
  • Excellent computer skills including Microsoft Office proficiency (Outlook, Excel, PowerPoint)
  • Ability to interface effectively with all levels of company employees
