M&A Senior Counsel (Job Number: 207127W-01)
DuPont’s Global Headquarters located
in Wilmington DE has a M&A Sr Counsel position available. This is a
highly visible, key role within the Legal function of the NEW DuPont. This
Position will require a person of vision, integrity and commitment, as well as
substantial leadership and influencing experience, maturity and judgment.
The person filling this role will
have a Strong focus on M&A as well as corporate structures and formation
and maintenance of corporate entities.
Must be self-starter able to work
independently; this is not a “second chair” position.
+ Minimum of 7 years’ experience inbroad range of corporate and M&A legal issues.; J.D. Degree and LawLicense.
+ Strong client development/relationshipskills.
+ Experience with M&Aactivity
+ Familiarity with taxissues.
+ Expertise in corporatestructures and formation and maintenance of corporate entities desirable. Preferred Experience
+ Experience with mergers andacquisitions, divestitures, financing transactions, and other general corporateand business transactional matters
+ Experience with mergers andacquisitions from structuring the offer to closing and integrating the deal
+ Draft and negotiate non-disclosureagreements, asset and stock purchase/sale agreements, joint venture agreementsand other related documents
+ Ability to lead closings and overseeand coordinate due diligence for transactions
+ Coordinate and completeM&A-related filings (SEC, NYSE, HSR) and respond to relevant inquiries(FINRA)
+ Proven ability to meet stringentdeadlines, adapt to changing priorities, and balance multiple tasks whileoperating in a fast-paced and dynamic environment
