Senior Counsel Securities & M&A (Job Number: 205111W-01)


DuPont’s Global Headquarters located in Wilmington DE has a M&A Sr Counsel position available. This is a highly visible, key role within the Legal function of the NEW DuPont. This Position will require a person of vision, integrity and commitment, as well as substantial leadership and influencing experience, maturity and judgment.

The person filling this role will have a Strong focus on M&A as well as corporate structures and formation and maintenance of corporate entities; preparation of wide range of proxy and Form 10-K disclosures related to compensation as well as familiarity with tax issues, including IRC Sections 162(m) and 409A.

Must be self-starter able to work independently; this is not a “second chair” position.


Required Experience

+ Minimum of 7 years’ experience in broad range of corporate and M&A legal issues.; J.D. Degree and Law License.

+ Strong client development/relationship skills.

+ Experience with M&A activity

+ Familiarity with tax issues.

+ Expertise in corporate structures and formation and maintenance of corporate entities desirable.

Preferred Experience

+ Proficiency drafting ‘34 Act reports such as 10-K’s; 10-Q’s and 8-K’s, proxy statements,; registration statements including those on Form S-3 and S-8 and forms for exempt offerings

+ Experience with Section 16 and related filings on Forms 3, 4 and 5

+ Support securities law compliance and periodic SEC reporting

+ Experience with mergers and acquisitions, divestitures, financing transactions, and other general corporate and business transactional matters

+ Provide assistance with corporate governance and public company Board matters

+ Experience with mergers and acquisitions from structuring the offer to closing and integrating the deal

+ Draft and negotiate non-disclosure agreements, asset and stock purchase/sale agreements, joint venture agreements and other related documents

+ Ability to lead closings and oversee and coordinate due diligence for transactions

+ Coordinate and complete M&A-related filings (SEC, NYSE, HSR) and respond to relevant inquiries (FINRA)

+ Proven ability to meet stringent deadlines, adapt to changing priorities, and balance multiple tasks while operating in a fast-paced and dynamic environment
