Position Summary:

The Contracts & Intellectual Property \(IP\) Administrator will draft, review and negotiate certain company contracts, including, Non\-Disclosure Agreements, Statements of Work, Purchase Orders, Master Services Agreements, Release Agreements, etc\. They will work closely with Corporate Procurement, Vendor Management, Information Security and other risk partners to help manage the overall contract process, ensure compliance with applicable corporate policies and procedures and engage necessary stakeholders\. They will be responsible for managing and monitoring contract deadlines, and working closely with lawyers and risk partners to timely complete projects\. The Contracts & IP Administrator will represent the Legal Transactional Group in various company meetings/groups\.

The Contracts & IP Administrator will also be responsible for managing company trademarks and provide guidance on other intellectual property matters, including trademark clearance, prosecution, maintenance and policing, tracking deadlines, advising on IP notices, drafting cease and desist letters, reviewing license agreements, etc\.

The Contracts & IP Administrator will also provide administrative support to team lawyers, including manage calendars, travel arrangements, budgets and policies, process invoices and expense reports, track regulatory trainings, track and renew certain business licenses, etc\.

Key Responsibilities:

+ Assist attorneys in their day to day work, including drafting, negotiating and managing contracts, and working closely with clients and risk partners throughout the contract management processes \- 50%
+ Handle trademarks and other IP related matters, including trademark clearance, policing, prosecution and maintenance \- 10%
+ Support for budget/expense reporting \- 10%
+ Filing, copying, typing, mail, and answering phone \- 10%
+ Scheduling calendars and making travel arrangements \- 10%
+ Other Administrative duties as needed \- 10%



+ 5\+ years’ experience as a Contract Administrator with solid base knowledge of contracting principles and concepts with experience drafting, reviewing and negotiating a variety of company contracts\.
+ Some experience providing administrative assistance support
+ Strong familiarity with corporate structure and procedures
+ Preferable: Base knowledge of trademark law, including clearance and prosecution
+ Preferable: Experience supporting legal professionals

+ Ability to achieve goals in a performance\-driven environment
+ Preferable: Trademark experience
+ Preferable: Notary public or willingness to become a notary
+ Preferable: Experience with MS Office, Adobe, Legal Tracker, Lexis/Nexis
+ Preferable: Experience with accounts payable/budget administration
